In this exempt role, the ideal candidate performs all review, negotiation and documentation functions of business contracts; identifies and recommends solutions to contract requirements; takes cradle to grave ownership of each assigned contract through negotiation, obtaining necessary approvals and execution, ensures compliance to company policy requirements are implemented; manages contract document-tracking through established documentation procedures; and maintains contract document-tracking database. The Contracts Administrator will serve as a Subject Matter Expert including training staff in key contract risks and terms.

KNOWLEDGE, EXPERIENCE AND SKILLS REQUIRED

Knowledge:

  • High school education or equivalent. BA/BS and/or ABA approved paralegal certificate, or other comparable legal experience.
  • Thorough knowledge of contract development/documentation procedures and practices.
  • Thorough knowledge of departmental function, terminology, and interrelationships.
  • Uses knowledge of general applications of industry practices and standards to perform work.

Experience:

  • 5-8 years' experience working with contracts required.
  • Staffing industry and/or life sciences/IT preferred, including experience with temporary and direct-hire staffing agreements.
  • Experience and understanding of Certificates of Insurance and basic business insurance.

Skill:

  • Strong negotiation skills concerning commercial terms and conditions and the ability to negotiate a contract from beginning till end.
  • Advanced computer skills with MS Office and proficiency in effective file management processes and maintaining contract-related databases.
  • Effective oral and written communication skills with good vocabulary, good grammar and the ability to independently compose complex written communications.
  • Strong interpersonal skills and team oriented outlook for inter-departmental and external company interaction.
  • Organizational skills required to effectively manage competing demands in a fast-paced environment.

Ability to:

  • Use experience and judgment to independently review contracts, provide recommendations, resolve problems, and to determine action to be taken within the limits of standard practice and company policy.
  • Plan work, handle tasks simultaneously, and work effectively with interruptions.

Reviews and provides advice on client contracts, including highlighting key risks within contracts, using an internal contract review software.

Manages contract document-tracking through established documentation procedures. Maintains efficient paper and electronic filing system and ensures quick retrieval of requested documents. Maintains contract document-tracking database and creates, runs and distributes standard periodic reports to communicate follow-up requirements.
